These Terms of Service ("Terms") are a legally binding agreement between you and ScarabCrafts ("we", "us", "our"). By accessing or using any website, application, product, or service we operate (collectively, "Services"), you agree to these Terms in full. If you do not agree, you must stop using our Services immediately.
ScarabCrafts creates, operates, and distributes products and services across various categories, including but not limited to applications, websites, digital content, and related offerings. We reserve the right to modify, suspend, or discontinue any Service — or any feature within a Service — at any time, with or without notice, for any reason. We are not liable to you or any third party for any modification, suspension, or discontinuation of a Service.
You must be at least 13 years of age to use our Services. If you are under the age of majority in your jurisdiction, you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf. By using our Services, you represent and warrant that you meet these requirements.
Some Services require you to create an account. You are solely responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account, whether or not authorized by you. Certain Services or features may be offered on a paid or subscription basis. By purchasing a subscription, you agree to the pricing, payment terms, and billing cycle disclosed at the time of purchase. Subscriptions renew automatically unless cancelled before the end of the current billing period. Cancellation is your responsibility and must be done through the platform on which you subscribed (e.g. Apple App Store, Google Play). We do not issue refunds except where required by applicable law or platform policy.
All content, trademarks, trade names, logos, designs, code, and other materials associated with ScarabCrafts and its Services are the exclusive property of ScarabCrafts or its licensors and are protected by applicable intellectual property laws. Nothing in these Terms grants you any right, title, or interest in our intellectual property except the limited right to use our Services as expressly permitted herein. Any unauthorized use may result in termination of your access and may subject you to civil and criminal penalties.
If any of our Services allow you to submit, upload, or transmit content ("User Content"), you retain ownership of your User Content. However, by submitting User Content, you grant ScarabCrafts a worldwide, non-exclusive, royalty-free, sublicensable license to use, reproduce, modify, and display your User Content solely for the purpose of operating and improving our Services. You represent that you own or have the necessary rights to submit your User Content and that it does not violate any third party's rights.
Our Services may integrate with or link to third-party platforms, tools, or services. We do not control and are not responsible for the content, privacy practices, or availability of any third-party services. Your use of third-party services is governed by their respective terms and policies. We are not liable for any loss or damage arising from your use of third-party services.
OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT OUR SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, NOR DO WE WARRANT THE ACCURACY OR RELIABILITY OF ANY CONTENT OBTAINED THROUGH OUR SERVICES.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SCARABCRAFTS, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE OUR SERVICES, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE), EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR OUR SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED CANADIAN DOLLARS (CAD $100).
You agree to indemnify, defend, and hold harmless ScarabCrafts and its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with: (a) your use of our Services; (b) your violation of these Terms; (c) your violation of any third party's rights; or (d) your User Content.
We may suspend or terminate your access to any or all of our Services at any time, with or without cause, with or without notice, at our sole discretion. You may stop using our Services at any time. Upon termination, all rights and licenses granted to you under these Terms will immediately cease. Sections that by their nature should survive termination (including but not limited to Intellectual Property, Disclaimer of Warranties, Limitation of Liability, Indemnification, and Governing Law) shall survive.
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, severed from these Terms. The remaining provisions shall continue in full force and effect.
These Terms, together with our Privacy Policy and any additional terms applicable to specific Services, constitute the entire agreement between you and ScarabCrafts regarding the use of our Services. These Terms supersede any prior agreements or understandings, whether written or oral.
We reserve the right to update or modify these Terms at any time. If we make material changes, we will update the effective date at the top of this page. Your continued use of our Services after any changes are posted constitutes your acceptance of the revised Terms. It is your responsibility to review these Terms periodically.
These Terms are governed by and construed in accordance with the laws of the Province of Nova Scotia, Canada, without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms or our Services shall be subject to the exclusive jurisdiction of the courts located in Halifax, Nova Scotia, Canada, and you consent to the personal jurisdiction of such courts.
